For clarity, these terms apply across the Vision Telco AI services and related managed service solutions.
- Client Data means data, content, records, prompts, files, contacts, campaign information, or other materials uploaded or provided by you to the Services.
- Confidential Information means non-public business data, trade secrets, proprietary algorithms, workflows, or other information that is designated confidential or should reasonably be understood as confidential.
- Services means the software, platforms, websites, AI tools, communication systems, automation workflows, and managed service solutions provided by ${brand}, powered by ${poweredBy}.
- Verified Results means leads, calls, appointments, deliverables, or other outcomes confirmed by timestamped records, logs, recordings, or delivery documentation.

Acceptance and Updates

License and Access Rights

Service Levels and Availability
The target platform uptime is 99.95%, excluding planned maintenance, third-party outages, force majeure events, or conditions beyond our control. Premium tiers may include enhanced service commitments.

- After-hours inquiries receive a response within 24 hours on a best-efforts basis.

- Verified results and follow-up are targeted within 24 hours of completion when applicable.
Performance, Quality Assurance, and Client Cooperation
${brand} maintains performance and quality standards, including recording, logging, or reviewing communications conducted under its management for compliance, verification, and internal auditing.
- You must provide accurate, current, and complete setup information.
- You must cooperate promptly in defining goals, lead parameters, appointment criteria, escalation rules, and campaign requirements.
- ${brand} is not responsible for performance delays or quality issues caused by incomplete data, lack of cooperation, or unresponsiveness.
- Delivered leads, calls, or appointments are deemed complete and billable unless you notify us of a material discrepancy within 48 hours of delivery.
Data Retention and Export
Client Data remains accessible for 30 days following termination upon written request. Export requests must include the requested format and scope.

Payment Terms
Fees are billed in U.S. dollars and charged to the payment method on file on a monthly-in-advance basis unless otherwise agreed in the active service schedule.
- Clients must maintain at least one valid payment method and one backup payment method for recurring or usage-based charges.
- Services may use post-pay, pre-pay, per-appointment, usage-based, or subscription billing depending on the active proposal or service schedule.
- All payments are final except under the material failure exception described below.
- Refund requests must be emailed to ${email} within five business days of the disputed charge and must include account details, invoice reference, and justification.
- Compliance registrations, carrier verifications, domain purchases, third-party fees, government fees, setup fees, labor, message credits, API usage, and AI processing costs are non-refundable.
- If a service fails due to a verified material error solely caused by ${brand}, affected charges may be refunded within 10 business days.
- Unauthorized chargebacks may result in suspension, termination, and recovery of administrative, collection, and legal costs.
Compliance and Acceptable Use
You must comply with all laws, regulations, standards, platform requirements, and consent obligations applicable to your use of the Services.
- Applicable frameworks may include TCPA, 10DLC, CAN-SPAM, GDPR, UK-GDPR, CCPA, HIPAA where applicable, anti-spam laws, anti-fraud laws, and other federal, state, local, or international requirements.
- Prohibited activities include spam, phishing, unlawful outreach, deceptive messaging, unauthorized communications, abuse, harassment, and other conduct described in the Acceptable Use Policy.
- Suspected violations may be reported to ${email}.
- ${brand} may suspend or terminate Services to investigate suspected misuse, non-compliance, or unlawful activity.
Confidentiality and Intellectual Property
Proprietary systems, source code, backend logic, AI models, automation frameworks, workflows, templates, and internal processes are the exclusive property of ${brand}, ${poweredBy}, licensors, or service providers as applicable.
- Clients retain ownership of their Client Data.
- You grant ${brand} a limited license to use Client Data solely to provide, secure, support, and improve the Services.

- Confidentiality obligations survive termination for three years, and trade secret obligations survive for as long as the information remains a trade secret.
AI and Automation Ethics
Certain Services use artificial intelligence and automation to perform tasks, generate responses, summarize interactions, classify requests, or support workflow execution. These systems are designed for operational support, not legal, financial, medical, safety-critical, or other professional decision-making.
- Clients are responsible for verifying AI-generated content before execution, publication, or customer reliance.
- AI outputs may contain errors, omissions, or bias inherent to data, prompts, context, or model behavior.
- Human review is recommended for sensitive applications and required where law, risk, customer impact, or business judgment demands it.
- Some Services may use third-party AI providers subject to their own terms.
Security and Incident Response
${brand} uses administrative, technical, and organizational safeguards designed to protect stored data, including access restrictions, monitoring, and security controls appropriate to the Services.
- No system can be guaranteed completely secure.
- In the event of a confirmed security incident, affected clients will be notified as required by applicable law, including available information about scope, type, and corrective measures.
- Clients are responsible for secure account practices, appropriate permissions, and lawful handling of exported data.
Indemnification and Liability
Clients agree to indemnify and hold harmless ${brand}, its officers, employees, contractors, partners, and service providers against claims, losses, or expenses arising from client misuse of the Services, data breaches caused by client action, or violations of law.

Clients may terminate Services with written notice, effective at the end of the current billing cycle, subject to the active service schedule.

- Payment, confidentiality, intellectual property, indemnity, limitation of liability, dispute, and other surviving provisions remain effective after termination.
Governing Terms, Disputes, and Contact
These terms are governed by the applicable written agreement or service schedule between the parties. Where no separate written agreement controls, disputes should first be addressed through good-faith negotiation before formal proceedings.
- Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, labor disputes, government acts, network outages, pandemics, cyberattacks, or third-party failures.
